Welcome to BlockNStack. These Terms of Service ("Terms") govern your access to and use of the BlockNStack website, mobile applications, and services (collectively, the "Services"). Please read these Terms carefully before using our Services.

• Engaging in any harassing, threatening, intimidating, or predatory conduct
• Using or attempting to use another user's account without authorization
• Creating false identities or impersonating any person or entity
• Posting false, inaccurate, or misleading content
• Uploading viruses, malware, or other types of malicious software
• Interfering with the proper working of the Services
• Collecting or harvesting any information from the Services
• Using the Services for any commercial purpose other than as expressly permitted

5. Job Listings and Applications

For Employers: You are solely responsible for the content of your job listings. You represent and warrant that all information in your listings is accurate and complies with all applicable laws, including equal employment opportunity laws. You agree not to post discriminatory, fraudulent, or illegal job listings.

For Job Seekers: You are solely responsible for the content of your profile and job applications. You represent and warrant that all information in your profile and applications is accurate. You understand that employers may contact you about job opportunities based on the information you provide.

6. Content and Intellectual Property Rights

Your Content: You retain all rights to the content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant BlockNStack a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based upon, distribute, and display your User Content for the purpose of operating and providing the Services.

BlockNStack Content: The Services contain content owned or licensed by BlockNStack ("BlockNStack Content"). BlockNStack Content is protected by copyright, trademark, patent, trade secret, and other laws. BlockNStack owns and retains all rights in the BlockNStack Content and the Services. You may not remove, alter, or conceal any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the BlockNStack Content.

8. Termination

We may terminate or suspend your access to the Services at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BLOCKNSTACK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

IN NO EVENT WILL BLOCKNSTACK, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

11. Indemnification

You agree to defend, indemnify, and hold harmless BlockNStack, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York, in each case located in the City of New York and County of New York.

13. Dispute Resolution

Any dispute arising from or relating to the subject matter of these Terms shall first be resolved through informal negotiations. If the dispute cannot be resolved through negotiations, the parties agree to binding arbitration under the rules of the American Arbitration Association.

14. Miscellaneous

These Terms constitute the entire agreement between you and BlockNStack regarding the Services. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. BlockNStack may assign these Terms in whole or in part at any time without notice to you.
